1. About Our Services

Redion IT Solution provides digital and technology services, including web development, mobile application development, custom software, creative design and branding, digital marketing, and cloud and server solutions.

The specific scope, deliverables, schedule, responsibilities, and pricing for a project will be described in a proposal, quotation, statement of work, or other written agreement accepted by both parties.

2. Eligibility and Acceptable Use

You must have the legal authority to enter into an agreement for yourself or the organization you represent. You agree to provide accurate information and use our website and services only for lawful purposes.

You must not:

• Attempt to gain unauthorized access to our website, systems, accounts, or infrastructure.
• Upload malicious code, interfere with service availability, or test vulnerabilities without written permission.
• Use our services to create, distribute, or promote unlawful, fraudulent, abusive, or infringing material.
• Misrepresent your identity, authority, business, or project requirements.
• Copy or reuse protected website content except where permitted by law or written authorization.

3. Proposals, Scope, and Changes

Our proposal is based on the requirements available at the time it is prepared. Work outside the agreed scope may require a revised estimate, additional fees, and a schedule adjustment.

Change requests should be submitted in writing. We will explain the expected effect on cost, timing, and deliverables before beginning material additional work.

4. Client Responsibilities

Successful delivery depends on timely cooperation. You agree to:

• Provide complete requirements, content, access credentials, brand materials, and approvals when needed.
• Confirm that you own or are authorized to use all materials supplied to us.
• Review work and provide clear, consolidated feedback within agreed timeframes.
• Maintain secure backups and protect credentials shared during the project.
• Pay invoices according to the agreed payment schedule.

Delays in providing required information, feedback, approvals, or access may affect delivery dates.

5. Fees, Invoices, and Payment

Fees and payment milestones will be stated in the applicable proposal or agreement. Unless agreed otherwise, deposits and completed milestone payments are non-refundable once the associated work has started or been delivered.

Late or overdue payments may result in paused work, postponed delivery, restricted service access, or reasonable collection costs. Third-party expenses such as hosting, domain registration, advertising spend, software licenses, plugins, and platform fees are separate unless expressly included.

6. Delivery, Review, and Acceptance

Delivery estimates are based on the agreed scope and expected client response times. Dates may change because of approved scope changes, delayed feedback, third-party issues, or events outside our reasonable control.

You should review deliverables promptly and report material issues within the review period stated in the project agreement. Deliverables may be considered accepted when approved in writing, used in production, or not rejected with specific reasons during the agreed review period.

7. Revisions and Support

Included revision rounds and post-launch support will be defined in the project agreement. Revisions are intended to refine agreed work and do not include a new concept, substantially changed requirements, or additional functionality unless approved as a change request.

Ongoing maintenance, security monitoring, content updates, advertising management, and technical support require a separate support arrangement unless explicitly included.

8. Intellectual Property

Each party retains ownership of intellectual property it owned before the project. After full payment, you receive the rights to final custom deliverables described in the applicable agreement, subject to any stated limitations.

We retain ownership of our pre-existing tools, reusable code, frameworks, processes, know-how, templates, and development utilities. Third-party materials remain subject to their original licenses.

Unless confidentiality terms or a written agreement say otherwise, we may identify you as a client and display completed public-facing work in our portfolio and marketing materials.

9. Confidentiality

Both parties agree to protect non-public information received through the business relationship and use it only for the intended project or service. Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

10. Third-Party Services

Projects may rely on third-party platforms, hosting providers, APIs, payment processors, plugins, libraries, advertising networks, or other external services. Their availability, pricing, policies, and performance are controlled by their respective providers.

We are not responsible for third-party outages, policy changes, account suspensions, security incidents, or discontinued features, though we may assist with reasonable troubleshooting under the applicable support arrangement.

11. Warranties and Disclaimers

We will perform our services with reasonable skill and care. Except for commitments expressly stated in a written agreement, our website and services are provided on an “as available” basis without additional warranties.

We do not guarantee uninterrupted operation, specific search rankings, advertising performance, revenue, sales, audience growth, or other business outcomes because results depend on many factors outside our control.

12. Limitation of Liability

To the maximum extent permitted by law, Redion IT Solution will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, revenue, business opportunities, goodwill, or data.

Our total liability arising from a specific service will not exceed the amount paid to us for that service during the period giving rise to the claim, unless applicable law requires otherwise.

13. Suspension and Termination

Either party may terminate a project according to the applicable agreement. We may suspend or terminate access when payments are overdue, these terms are materially breached, illegal activity is suspected, or continued work presents a security or legal risk.

Upon termination, you remain responsible for completed work, approved expenses, and other amounts due. Sections concerning payment, intellectual property, confidentiality, disclaimers, and liability continue where appropriate.

14. Governing Law and Disputes

These terms are governed by the laws applicable in Bangladesh, unless a separate written agreement specifies otherwise. The parties will first attempt to resolve disputes through good-faith discussion before pursuing formal remedies.

15. Changes to These Terms

We may update these Terms of Service to reflect changes in our services, business practices, or legal obligations. Updated terms will be posted on this page with a revised “Last updated” date. Continued use after an update constitutes acceptance of the revised terms.
